Charter :

Article 1 :
Name and location

1.1 A foundation along the lines of articles 80 ss CCS (Swiss law) is established under the name of "Foundation Allgöwer for Video and Audio in Cultural and Humanitarian domains” (thereafter called FAVACH).

1.2 FAVACH is based at the following address: Rue du Four 25
1400, Yverdon-les-Bains
Switzerland

Article 2 :
Purposes

2.1 FAVACH aims to promote cultural and humanitarian knowledge in Switzerland and abroad through the realization of audio - visual documentaries. FAVACH supports financially such projects alone or in collaboration with institutions having a recognized status of public (other foundations, associations, governments of emerging countries and non governmental organizations).
FAVACH confides this kind of projects in the form of mandates to persons or firms who are active in the audio-visual domain.
FAVACH contributes to the expenses of training in the audio – visual domain of Swiss or foreign persons.
FAVACH acquires, if need be, the audio – visual equipments necessary for the realization of the projects which it supports. FAVACH can lend them to third parties which execute these projects.

2.2 FAVACH has a character of public interest and does not pursue any lucrative purposes.

Article 3 :
Resources

3.1 The founder attributes to FAVACH, at the time of its constitution, a capital of endowment of 50'000 Swiss francs.
3.2 The assets consist of the following items: 50'000 Swiss francs as basic endowment and the sums which potential sponsors will contribute. These sums will be deposited in the account, number…. of the Raiffeisen Bank, in 1400 Yverdon-les-Bains
3.3 The assets of FAVACH are fed by other potential donations of the founder or from third parties, by the interests of assets and gains from audio – visual productions (such as specified in art.2).

Article 4 :
Governing body

4.1 The Board of Trustees is the governing body of FAVACH.
4.2 The Board of Trustees can appoint a director who does not have to be a member of the Board of Trustees.

Article 5 :
Board of Trustees

5.1 The Board of Trustees numbers between five and nine members (1).
5.2 The Board of Trustees appoints its members and establishes itself.
5.3 The mandate of the Board of Trustees lasts for a period of four years, at the end of which members are eligible for reelection. The number of the members of the Board of Trustees, its composition, the name of the persons authorized to sign and any other changes must be communicated to the State Authority of Surveillance and the State Commercial Register within a period of one month.
5.4 The Board of Trustees represents FAVACH vis-à-vis thirds parties, appoints the persons who can legally engage FAVACH by their two signatures and it defines the exact procedures for these signatures.
5.5 The Board of Trustees meets at least once a year. The quorum is reached if the majority of the members are present. Decisions are made by simple majority. Decisions can also be made by writing. In case of equality of votes, the president’s opinion carries the decision. The Board of Trustees puts in writing the minutes of its deliberations and decisions.


Article 6 :
Regulations

6.1 The Board of Trustees can promulgate regulations regarding details of the foundation and its management, defining, if need be, the tasks of the director.
6.2 The Board of Trustees can at any time modify these regulations within the defined framework of FAVACH’s goals.
6.3 Regulations and their modifications must be communicated to the State Authority of Surveillance, for approval.


Article 7 :
Control Body

7.1 The Board of Trustees appoints an independent, qualified Control Body which verifies every year that the management, the accounting and investment of the fortune are legally correct and in tune with the purposes of the foundation. It establishes a written report regarding its verifications for the intention of the Board of Trustees ( 2 ).
7.2 The Control Body is appointed for one year; its mandate is renewable.


Article 8 :
Accounting

8.1 The accounts are due every year on December 31st, for the first time on December 31st, 2005. The Board of Trustees can, for reasons of convenience, fix other dates for the closure of the accounts. It has to inform the State Authority of Surveillance about such a decision.
8.2 FAVACH establishes an annual account at the end of the financial year and subjects it to the Body of Control. The annual accounts, the report of the Control Body and a general, annual report must be sent to the State Authority of Surveillance, within a six month period starting with the end of the financial year.


Article 9
Modification of the Charter

9.1 The Board of Trustees can propose a modification of the charter within the defined framework of FAVACH’s goals to the State Authority of Surveillance.

Article 10 :
Dissolution of the foundation

10.1 If the purpose of the foundation can not be realized any more, the Board of Trustees can propose the dissolution of FAVACH to the State Authority of Surveillance.
10.2 The still existing fortune is then allocated to another foundation having its location in Switzerland, is exempted from taxes because of its public utility or public service character and pursues similar goals.
10.3 The Board of Trustees stays in function until FAVACH has no more assets.
10.4 The approval of the State Authority of Surveillance as to the transfer of the assets and the dissolution of the foundation is necessary.
